Terms of Use of Communication Tools

These Terms of Use govern the relationship between Alaio ("Us", "Our", "We") and Our users ("you", "your") while using the additional functionality "Communication Tools" (the "Communication Tools"), including the Administrator and the users of the Bitrix24 Customer Account, as well as Guests. The Terms of Use form an integral part of the Terms of Service.

By using the Communication Tools, you acknowledge your full consent to these Terms of Use. If you do not accept these Terms of Use, do not use the Communication Tools.

The Communication Tools functionality is represented in the following categories:

  • Video calls ("Calls");
  • Video conferences — group Video calls that external users can join via an invitation link (Video calls and Video conferences are collectively referred to as "Calls");
  • Messenger ("Chats").

1. You understand and agree that:
1.1. The Communication Tools are provided "as is" and "as available", and Alaio does not guarantee that any of their features or functions will meet your expectations. Alaio hereby expressly disclaims any representations or warranties of any kind, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement as to the operation of the service.
1.2. The Communication Tools are intended for business interactions only and must not be used to contact emergency services or to transmit emergency alerts or warnings.

2. You are solely responsible for:
2.1. Data processed during the use of the Communication Tools. Under no circumstances will Alaio be liable in any way for any data or other content (including any User Content) viewed while using the Communication Tools, including any errors or omissions in such data or content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any data or other content.
2.2. Complying with all laws that apply to recording Calls and Chats. Any user of your Bitrix24 Customer Account may choose to record a Call. Recordings of the Communication Tools are deemed to be User Content. When recording is enabled, participants are notified by a visual indicator in the Call interface. A user who does not agree to being recorded may choose to leave the recorded session.

3. You accept and agree that the Communication Tools are not intended for creating, uploading, displaying, transmitting, or otherwise making available any texts, voice messages, images, or other items (the "Content") that may be deemed to:

  • violate any applicable national or international law, including laws that apply to you or your users in any jurisdiction where you operate;
  • infringe Our or any third party's intellectual property rights, trademarks, privacy rights, or trade secrets, or disclose confidential business information;
  • be unlawful, harmful, threatening, defamatory, or obscene;
  • depict or facilitate the sexual exploitation or abuse of minors;
  • contain sexually explicit or pornographic material, or advertise escort or other sexual services;
  • promote terrorism, glorify or incite violence, recruit for violent or extremist organizations, or encourage criminal or harmful conduct;
  • harass, abuse, or threaten others, or contain hateful remarks targeting individuals or groups based on religion, political views, race, ethnicity, gender, sexual orientation, disability, or appearance;
  • deceive or defraud others, impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • contain malicious code, or be used for phishing, spam, or unsolicited mass messaging;
  • disclose personal data of third parties without a legal basis, or facilitate stalking or doxxing;
  • promote self-harm or suicide;
  • promote the use of illegal substances, or facilitate the sale of illegal goods or services, or provide instructions for making or using weapons or explosives;
  • advertise gambling or betting services;
  • damage Our reputation or goodwill, or bring Us into disrepute.

4. Guest access
4.1. Definition. A Guest is an external user invited to a Chat and/or a Call through an invitation link generated by a user of the Bitrix24 Customer Account. A Guest is granted access only to the Chat and/or Call to which they were invited, including the message history, materials, and recordings, and has no access to any other data of the Bitrix24 Customer Account.
4.2. Inviting a Guest. The inviting user is solely responsible for granting Guest access. Before sending the invitation link, the inviting user must notify the other participants and obtain their consent to the Guest's presence and access to the Chat or Call history. The inviting user must also keep the invitation link confidential and take reasonable measures to prevent it from being shared with unauthorized persons.
4.3. Participants' consent. When a Guest joins, a visual notice of the Guest's presence is displayed in the Chat and/or Call interface. Participants who continue to take part in the Chat and/or Call after being notified of the Guest's access confirm their consent to it; a participant who does not consent may leave the Chat and/or Call.
4.4. Guest obligations. By following the invitation link, the Guest agrees:

  • not to disclose the content of the Chat and/or Call to third parties;
  • not to record a Call without the consent of the other participants;
  • not to share the invitation link and to keep it confidential;
  • to comply with these Terms of Use, including the restrictions on prohibited Content.
4.5. Revoking access. Refreshing the invitation link revokes Guest access: the link issued earlier becomes invalid from the moment it is refreshed.

5. Use of CoPilot in the Communication Tools
5.1. Connecting CoPilot. CoPilot can be added to both Calls and Chats. When CoPilot is connected, a visual notice appears in the Chat or Call interface. CoPilot is connected by the Administrator or a user of the Bitrix24 Customer Account, and may also start automatically if this is enabled in the Bitrix24 Customer Account settings.
5.2. In Calls, CoPilot automatically processes the audio and video recording: it transcribes speech, analyzes the content of the conversation, and generates a summary.
5.3. In Chats, CoPilot can analyze the message history, summarize the conversation, and answer questions about the topics discussed.
5.4. Your use of CoPilot is governed by the Alaio AI Tools Terms of Use, which form an integral part of these Terms of Use. Data processed by CoPilot (audio, video, the Call transcript, Chat messages, and the summaries generated) may be transferred to the AI Providers whose AI Technologies power CoPilot, and is processed under the applicable AI Providers' Terms referenced in the AI Tools Terms of Use. The AI Providers may use this data, including to develop and improve their AI Technologies. Alaio is not responsible for how the AI Providers process the data or for the consequences of that processing.

6. Data processing
6.1. Guest data. Before granting a Guest access, the inviting user must inform the Guest that their data - the audio and video stream, Chat messages, and IP address - will be processed in Bitrix24. By following the invitation link, the Guest consents to this processing. The inviting user and the Administrator are responsible for ensuring that a valid legal basis exists for processing the Guest's personal data.
6.2. When connecting CoPilot to a Chat and/or Call, the user should be aware that CoPilot gains access to the entire Chat history - including messages of all participants and Guests - and to the content of the Call. The Administrator and the user who connected CoPilot are responsible for notifying the participants in advance that CoPilot is being used and for ensuring a legal basis for processing the content of their communications.
6.3. The user who invited a Guest and the Administrator of the Bitrix24 Customer Account are responsible for ensuring an appropriate legal basis for processing the Guest's personal data. The inviting user warrants that they hold the rights required to transfer such data to Alaio and the AI Providers in accordance with the AI Tools Terms of Use, and bears responsibility for the consequences of that transfer.
6.4. Data Processing Agreement. The Data Processing Agreement issued to you by Alaio applies in full to the personal data processing described in these Terms of Use.

7. Limitation of Alaio's liability
7.1. Alaio shall not be liable for:

  • any direct or indirect losses arising from your use of, or inability to use, the Communication Tools;
  • malfunction of the Communication Tools caused by deficient technical equipment or internet connection on the user's side.
7.2. With respect to CoPilot, Alaio shall not be liable for:
  • the accuracy of speech recognition or any other output produced by CoPilot;
  • actions, decisions, or materials created by CoPilot;
  • the consequences of the processing of data by the AI Providers;
  • any damage arising from the use of, or inability to use, CoPilot.

8. Amendments
8.1. Alaio has the right to unilaterally modify this document by posting the updated text on the Website at the following link.
